第一條：名稱及會址

1. 本會定名為大波特蘭區台灣同鄉會 (英文為Taiwanese Association of Greater Portland)。
   
2. 會址設於會長所在地，本會為全美台灣同鄉會分會。

第二條：宗旨

1. 連絡鄉親，協助台胞，擁護權益。
2. 關懷故鄉，宣揚台灣文化。

第三條：會員

• 凡認同台灣，不分性別，種族，宗教，政治歧異，旅居美國，年滿十八歲以上者，得向理事會申請為會員。

第四條：權利及義務

1. 參加活動，具有選舉，被選舉，提案，表決，收受本會通訊出版物及本會會章所規定之權利。
2. 繳納會費，遵守本會章程及大會決議事項，履行本會章程之所規定之義務。

第五條：組織

1. 本會設會員大會及理事會，會員大會由全體會員組成。理事會由大會選出組成，為本會之執行及服務機關。
2. 會員大會分年會及臨時會，年會每年召開一次，臨時會由理事會會員二分之一以上連署得以召集之。
3. 會員大會之召集，應以書面通知，內容需載明開會時間，地點及議程，需至少兩週前為之。
4. 會員皆有提案權，提案應於一週前以書面向理事會提出。
5. 會員大會中每位會員均享有相等之表決權，會員決議事項須超過法定人數得以表決，法定人數不得少於出席會員三分之二。
6. 決議事項必須要出席會員二分之一以上得以通過。
7. 表決之決議事項交出理事會執行之。
8. 會員大會由理事會會長指定之特定人員主持之。

第六條：執行及服務 

1. 理事會由五至九名組成，對外代表本會，協調社團事務，對內處理服務業務。
2. 理事會任期為兩年，連選得以連任乙次，於年會時選舉新理事，新舊理事應於選舉後一個月完成移交任織。
3. 理事會設會長一名，下任會長一名，全體理事會推選。會長任期一年，連選的連任乙次，對內服務理事，對外代表理事會。
4. 理事會設財務，文書，康樂，總務等，由理事分別掌理。
5. 理事會視需要時，得設長輩，婦女，青年會其他特殊服務部門，由理事或理事會聘請專人負責。
6. 理事會分定期會及臨時會。定期會應於每年理事移交後第一次理會決議之 : 臨時會應由會長召集之。會長出缺時，由下任會長召集。
7. 理事會之決議，須三分之二以上理事出席，二分之一以上同意而生效。
8. 理事因故出缺時，由理事會推選適當會員繼任其剩餘任期。

第七條

• 本會章之修改需經本會提出修改案或理事會決議通過，經會員大會，全部會員三分之二決議後生效。

第八條

• 本會章提請一九九二年本會年或決議後正式生效。

Article I: Name & Location

1. This Board is named the Taiwanese Association of Greater Portland (TAGP). The TAGP Board meetings are designated by the current acting president.
2. TAGP is located in Portland Metropolitan Area, Oregon

Article II: Purpose

1. Connecting communities, assisting fellow citizens, and advocating rights & interests.
2. Caring for our hometowns, promoting Taiwanese culture.

Article III: Members

• Anyone who identifies with or supports Taiwan, regardless of gender, race, religion, political differences, living in the United States and over the age of 18, may apply to the Board for membership.

Article IV: Rights and Responsibilities
Rights of members:

1. Participation in activities sponsored by the Association. 
2. Right to vote and to be a candidate for Association positions): Anyone with valid membership for more than one (1) month has the right to vote; anyone with a valid membership for more than three (3) months is eligible to run for an official position.
3. Submission of proposal(s) and to vote on proposal(s).
4. All right stipulated in the Bylaws and others.

Responsibilities of members: 

1. To follow the Bylaws and other resolutions adopted by the General Member Meeting.
2. To pay membership fees.
3. To perform other responsibilities stipulated by the Bylaws.

Article V: Organization

1. Set up a Board of the General Assembly. The Board is elected by the General Assembly.  
2. There will be an annual General Assembly meeting of members and intermittent Board Board meetings for planning events throughout the year.  The Board Board meetings will count when more than one-half of the Board members can convene.  
3. The convening of a General Assembly meeting shall be notified at least two weeks in advance with the time, place, and agenda.  
4. Members have the right to submit proposals.  Member proposals should be submitted in writing to the Board a week prior to the Board meetings.  
5. Each member of the General Assembly shall have equal voting rights. Official decisions must meet the attendance minimum of two thirds of the total members.
6. Final resolution adoptions must be attended by more than one-half of the members to pass.
7. The voting matters shall be handed over to the Board for implementation.
8. The General Assembly is presided over by a specific person designated by the Board president.

Article 6: Implementation and Service

1. The Board consists of five to nine members entails representing the Board to the world, coordinating the Association’s affairs, and dealing with internal services programs.
2. The Board members' term is two years.  This will be upheld even under the election of a second term of office or new members at the annual meeting.  The outgoing Board members’ transition out of the Board one month after the election. The newly elected Board members begin their term one month after the election.
3. The Board president will delegate the vice president, and other Board positions. The President's term is one year with a maximum of two terms.
4. The Board enforces financial, clerical, recreational, general services, respectively, by the Board or its designated members.
5. When necessary, the Board may form an Advisory Board consisting of former Board members and designated volunteers at will.
6. The Board is divided into regular and ad hoc meetings. The Board shall convene on a regular basis after the election of the Board president: the president shall preside the provisional meeting; however when the president is vacant, the vice president will preside.
7. The Board meetings' decisions shall have attendance by more than two-thirds of the Board and can only pass with the consent of more than one-half of the members.
8. When a Board director becomes vacant permanently for any reason, the Board can elect a successor to complete the vacating Board director’s remaining duration.

Article VII: Amendments

• The amendments to the TAGP bylaws must be approved by the TAGP Board of Directors, and shall be effective only after receiving the agreement by at least two-thirds of the General Assembly meeting.

Article VIII: Oath

• This Chapter of this Association officially started in 1992 and will be continuously upheld.
